Makola Online Terms and Conditions

2.1 Makola Online is an online marketplace directory that connects independent Sellers with Buyers in Ghana. We provide the technology and space for Sellers to list products and for Buyers to discover and contact Sellers.

2.2 Unless expressly stated otherwise, Makola Online is not the manufacturer, owner, or seller of the products listed on the Platform. Each Listing is created and controlled by the Seller who posted it. We do not inspect, endorse, or guarantee the accuracy, quality, safety, or legality of any Listing.

2.3 Any contract of sale formed as a result of a transaction on the Platform is between the Buyer and the Seller directly. Makola Online is not a party to that contract, except where we act as a payment intermediary as described in Section 7.

3.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to register an account or transact on the Platform.

3.2 To buy or sell on the Platform, you may be required to create an account and provide accurate, current, and complete information, including a valid name, phone number, email address, and, for Sellers, business details.

3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at https://wa.me/+233244611386 if you suspect unauthorized use of your account.

3.4 We reserve the right to suspend or terminate any account that provides false information, violates these Terms, or engages in fraudulent or harmful conduct.

Sellers who list products on Makola Online agree to:

4.1 Provide accurate, complete, and non-misleading descriptions, images, and pricing for every Listing.

4.2 Only list products that they have the legal right to sell and that comply with all applicable Ghanaian laws, including consumer protection, product safety, and tax regulations.

4.3 Honor the terms of sale stated in their Listings, including price, delivery timelines, and return/refund conditions communicated to Buyers.

4.4 Not list prohibited, counterfeit, stolen, illegal, or dangerous items.

4.5 Respond to Buyer inquiries and complaints in a timely and professional manner.

4.6 Be solely responsible for fulfilling orders, including packaging, delivery, and after-sales service, unless otherwise agreed with Makola Online.

4.7 Pay any applicable commission, listing fee, or subscription fee as communicated by Makola Online for use of seller features on the Platform.

Buyers agree to:

5.1 Provide accurate delivery and contact information for each order.

5.2 Pay the full and correct amount for any product ordered through the Platform.

5.3 Communicate respectfully with Sellers and refrain from fraudulent orders, chargebacks made in bad faith, or abusive behavior.

5.4 Inspect products upon delivery and raise any disputes with the Seller, and Makola Online where applicable, within a reasonable time as stated in the relevant Listing or Section 8.

You may not use the Platform to list, sell, purchase, or promote:

• Counterfeit, pirated, or unlicensed goods;
• Illegal drugs, weapons, or hazardous materials;
• Stolen goods;
• Items that infringe intellectual property rights;
• Products banned under Ghanaian law, such as certain pharmaceuticals without a license;
• Content that is fraudulent, deceptive, defamatory, obscene, or discriminatory.

You also may not use the Platform to engage in money laundering, spam, scraping, hacking, or any activity that disrupts or harms the Platform or other users.

Makola Online reserves the right to remove any Listing or content, and to suspend or terminate accounts, that violate this Section, without prior notice.

7.1 Prices displayed on the Platform are set by individual Sellers and are shown in Ghana Cedis (GHS) unless otherwise stated. Prices may include or exclude delivery fees, as indicated on each Listing.

7.2 Where the Platform offers online checkout, payments are processed through a third-party payment gateway, such as Paystack. By making a payment, you agree to the terms of that payment processor in addition to these Terms.

7.3 Makola Online does not store your full card or mobile money credentials; these are handled securely by our payment processor.

7.4 Order confirmation does not guarantee product availability. Sellers may cancel an order due to stock unavailability, in which case a refund, where payment was made through the Platform, will be processed within a reasonable timeframe.

7.5 Where Buyers and Sellers arrange payment directly, such as cash on delivery or direct mobile money transfer, Makola Online is not responsible for the payment transaction and encourages Users to exercise caution.

8.1 Delivery timelines and methods are set by individual Sellers and stated on each Listing. Makola Online is not responsible for delays, loss, or damage occurring during delivery unless we are directly providing the delivery service.

8.2 Return and refund eligibility is determined by each Seller's stated policy. In the absence of a stated policy, Buyers should contact the Seller directly to resolve issues with damaged, defective, or misrepresented items.

8.3 Where Makola Online facilitates payment directly, we may assist in mediating disputes between Buyers and Sellers but do not guarantee a specific outcome and are not liable for losses arising from a Seller's failure to deliver or fulfill an order as promised.

9.1 Users may be permitted to submit reviews, ratings, or other content. You agree that any content you submit is truthful, non-defamatory, and does not violate any third party's rights.

9.2 By submitting content to the Platform, you grant Makola Online a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content in connection with operating and promoting the Platform.

9.3 We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion.

10.1 The Makola Online name, logo, website design, and underlying software are the property of Makola Online and/or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or create derivative works from the Platform without our written permission.

10.2 Sellers retain ownership of the content and images they upload but grant Makola Online a license to display such content on the Platform for the purpose of operating the marketplace.

Makola Online may charge Sellers a commission, subscription, or listing fee for use of certain Platform features. Any such fees will be clearly communicated before they apply and may be updated from time to time with reasonable notice.

12.1 The Platform is provided on an "as is" and "as available" basis. Makola Online makes no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform.

12.2 We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

12.3 Makola Online does not guarantee the conduct, reliability, or legitimacy of any Buyer or Seller. Users are encouraged to exercise reasonable caution, verify Seller/Buyer credibility, and use secure payment methods where possible.

To the fullest extent permitted under Ghanaian law, Makola Online, its founders, employees, and affiliates shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from use of the Platform;
• Losses arising from disputes, non-delivery, defective products, or fraudulent conduct between Buyers and Sellers;
• Any loss of data, profits, or business arising from reliance on the Platform.

Our total liability to any User for claims arising from use of the Platform shall not exceed the amount of fees, if any, paid by that User to Makola Online in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Makola Online and its officers, employees, and affiliates from any claims, damages, losses, or expenses, including legal fees, arising from your breach of these Terms, your Listings, or your conduct on the Platform.

15.1 We may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraudulent activity, or harm the integrity of the Platform.

15.2 You may close your account at any time by contacting us.

15.3 Termination does not relieve either party of obligations incurred prior to termination, such as pending orders or payments due.
